Terms & Conditions
§1. General Provisions
These Terms & Conditions set out the rules for the provision of services by Primomill® Sp. z o.o., with its registered office in Łódź (90-616), 6 Sierpnia 16, bldg. 23, NIP: 7272839654, REGON: 384739680, hereinafter referred to as the “Service Provider.”
The Terms are addressed to entrepreneurs (B2B clients) using the Platform as part of their business activity.
The Platform is used to place orders for milling, laser sintering, and other services provided by the Service Provider.
§2. Definitions
Terms used in these Terms & Conditions mean:
- Platform - Platform - the online service operated by the Service Provider, available at primomill.com
- Client - Client - an entrepreneur within the meaning of the Polish Entrepreneurs’ Law of March 6, 2018, using the Platform
- Order - Order - the Client’s declaration of intent aimed at concluding a Service Agreement
- Services - Services - milling, laser sintering, and other services provided by the Service Provider
§3. Conditions for Service Provision
Using the Platform requires:
- Having an active account on the Platform
- Accepting these Terms & Conditions
- Having entrepreneur status
- Providing true company data, including VAT ID
The Service Provider reserves the right to verify the entrepreneur status before activating the account.
§4. Placing and Fulfilling Orders
Orders can be placed via the Platform 24 hours a day, 7 days a week.
Placing an order requires:
- Logging into the Platform
- Submitting the required files in the appropriate format
- Specifying order parameters
- Accepting the quotation
After placing an order, the Client will receive an electronic confirmation of its acceptance.
The order completion time is determined individually and depends on the order specification.
§5. Payments and Invoices
Settlements between the parties are made in PLN.
Available payment methods:
- Bank transfer
VAT invoices are issued in accordance with applicable law.
The Client consents to receiving invoices electronically.
§6. Rights and Obligations of the Parties
The Service Provider undertakes to:
- Provide services with due diligence
- Maintain confidentiality of information
- Protect personal data in accordance with GDPR
The Client undertakes to:
- Provide files that meet technical requirements
- Make payments on time
- Cooperate during the order fulfillment process
§7. Intellectual Property
All intellectual property rights to the Platform belong to the Service Provider.
The Client retains rights to the files and designs submitted.
The Service Provider undertakes not to share the Client’s designs with third parties.
§8. Liability
The Service Provider is responsible for proper service performance in accordance with the order parameters.
The Service Provider’s liability is limited to actual damage and does not include lost profits.
The Service Provider is not liable for:
- Errors in files submitted by the Client
- Delays resulting from force majeure
- Consequences of using manufactured elements contrary to their intended purpose
§9. Complaints
The Client has the right to file a complaint in the event of improper service performance.
A complaint should be submitted electronically to: biuro@primomill.com
The complaint will be processed within 14 business days.
§10. Termination
Either party may terminate the agreement with 30 days’ notice.
The Service Provider may suspend or delete the Client’s account in the event of:
- Violation of the Terms
- Overdue payments
- Providing false data
§11. Force Majeure
Neither party is liable for non-performance due to force majeure.
Force majeure means extraordinary, external, and unforeseeable events.
§12. Final Provisions
In matters not regulated by these Terms, the provisions of Polish law apply.
All disputes will be resolved by the court competent for the Service Provider’s registered office.
These Terms enter into force on 27-12-2024.
